Thank you for using the FindMyDirectDoctor.com website and associated content (hereinafter "Website"). FindMyDirectDoctor, LLC (collectively "FindMyDirectDoctor" or "FDD") provides you with a limited license to use the Website subject to the terms and conditions contained within this Terms of Service Agreement (hereinafter "Agreement").
This Website is intended for use by adults eighteen (18) years of age or older. Persons under the age of eighteen (18) may not use the Website or the Telehealth Services.
By using the Website, you manifest your assent and agree to be bound by this Agreement. If you do not agree to the terms and conditions contained within this Agreement, you must discontinue your use of the Website immediately. FindMyDirectDoctor reserves the right to suspend, replace, modify, amend, or terminate this Agreement at any time and within its sole and absolute discretion. In the event FindMyDirectDoctor replaces, modifies, or amends this Agreement, the Last Updated date, located at the top of this Agreement, will change. Your continued use of the Website after a change in the Last Updated date above will constitute your manifestation of assent to and agreement with any replacement, modification, or amendment herein.
The content of this Website, including but not limited to text, graphics, images, information obtained from third parties, software, and other material contained on the Website (the "Content") are for informational purposes only. The Content is not intended to be a substitute for professional medical advice, diagnosis, or treatment. It is the mission of FindMyDirectDoctor to connect physicians and patients, not to itself provide medical advice of any kind.
1. User Warranties.
By using the Website, you warrant that you are at least eighteen (18) years of age, are of sound mind, and have the capacity to agree to and uphold the terms and conditions contained within this Agreement. If you use the Website on behalf of a business entity or other third party, you warrant that you have actual authority to act as an agent of that business entity or third party and, as a component of that agency, have the right and ability to agree to the terms of this Agreement on behalf of that third party or business entity.
2. Limited License.
You acknowledge and agree that the Website is the property of or is licensed by FindMyDirectDoctor and is protected under United States and international law, including, but not limited to, intellectual property laws and other personal and proprietary rights. You acknowledge and agree that your use of the Website is limited by the license granted under the terms of this Agreement, and you expressly agree that you will not use the Website in any manner not expressly authorized under the terms of this Agreement. FindMyDirectDoctor reserves all of its rights not expressly granted through this Agreement.
FindMyDirectDoctor provides you with a limited, non-exclusive, non-sublicensable, non-assignable, revocable, and royalty-free license to use the Website for its customary and intended purposes. You are expressly prohibited from reproducing, preparing derivative works of, distributing copies of, publicly performing, and publicly displaying the Website.
3. Acceptable Use Policy.
When you use the Website, you agree to use it only for its customary and intended purposes and as permitted by the terms of this Agreement and any applicable law, regulation, statute, or ordinance. Additionally, you agree that you are responsible for any breach of your obligations under the terms of this Agreement and for any losses suffered by FindMyDirectDoctor for such a breach, including, but not limited to, monetary damages, costs, and attorneys' fees. You are expressly prohibited from using the Website to violate any law, statute, ordinance, regulation, or treaty, whether local, state, provincial, national, or international, or to violate the rights of a third party, including, but not limited to, intellectual property rights, privacy rights, rights of publicity, or other personal or proprietary rights. Additionally, you are expressly prohibited from:
  1. a.Attempting to access the Website other than through a standard web browser unless you have been permitted to do so by FindMyDirectDoctor through a separate, written agreement (this restriction does not apply to search engines that comply with FindMyDirectDoctor's robots.txt file);
  2. b.Accessing or attempting to access the Website through automated means (this restriction does not apply to search engines that comply with FindMyDirectDoctor's robots.txt file);
  3. c.Circumventing the technological protection measures of the Website;
  4. d.Posting or transmitting content intended to collect personal or personally identifiable information from users of the Website or third parties;
  5. e.Disrupting or otherwise interfering with the Website or its associated servers or networks;
  6. f.Scraping, reproducing, republishing, selling, reselling, duplicating, or trading the Website or its content;
  7. g.Diverting or attempting to divert customers of the Website to another website or service;
  8. h.Sending unsolicited or unauthorized communications to users of the Website or third parties;
  9. i.Transmitting content to the Website that is false, inaccurate, misleading, tortious, defamatory, vulgar, obscene, libelous, invasive, hateful, or otherwise objectionable;
  10. j.Reverse engineering, decompiling, translating, or disassembling the Website or its content; and
  11. k.Encouraging or assisting any other party to do anything in violation of the terms of this Agreement.
We reserve the right to modify, amend, or terminate the Website or its associated content at any time and without prior notice. We also reserve the right to refuse service or access to the Website to any person or business entity at any time and without notice.
4. Copyright Policy.
The Website and its associated content and services are © 2026 FindMyDirectDoctor, LLC. Users may contribute reviews or submissions of written materials to the Website. The user grants FindMyDirectDoctor a limited license to reproduce, prepare derivative works of, to distribute, to publicly display, or to promote the user's submissions. The user agrees that any user submission shall be free and clear of claims, liens, or encumbrances by third parties, including, but not limited to, any claims that the user submission infringes upon the intellectual property, personal, or proprietary rights of third parties.
If you believe that a user of the Website has infringed upon your copyright rights, you may provide us a notice of copyright infringement that complies with § 512 of the Digital Millennium Copyright Act.
Upon receipt of a notice that complies with this section, we will make a good faith attempt to notify the owner or uploader of the allegedly infringing content so that they can respond with a counter-notification.
This notice of copyright infringement must contain the following:
  • The physical or electronic signature of a person authorized to act on behalf of the copyright owner;
  • Identification of the copyrighted work(s) alleged to have been infringed;
  • The location of the copyrighted work(s) on the Website;
  • Your contact information, such as an address, telephone, fax number, or email address;
  • A statement that you have a good faith belief that the use of the allegedly infringing content is not authorized by the copyright owner, its agent, or the law; and
  • A statement, under penalty of perjury, that the information in the notification is accurate and that you are authorized to act on behalf of the copyright owner.
If you are a Website user who believes that content subject to a notice of copyright infringement is not infringing, you may submit a counter-notification. This counter-notification must contain the following:
  • Identification of the specific materials that have been removed from the Website;
  • Your contact information, such as an address, telephone, fax number, or email address;
  • A statement, under penalty of perjury, that you have a good faith belief that the content was removed as a result of mistake or misidentification;
  • A statement that you consent to the jurisdiction of the federal district court in which your address is located or in which we are located;
  • A statement that you will accept service of process from the notifying party; and
  • Your physical or electronic signature.
Notifications of copyright infringement and counter-notifications must be submitted to us at [email protected] or via postal address to: Attn: FindMyDirectDoctor, LLC, 3225 McLeod Dr, Suite 100, Las Vegas, NV 89121.
5. Section 230 of the Communications Decency Act.
You understand and agree that FindMyDirectDoctor provides the Website as a service and will not be held liable for and takes no responsibility for any interactions by and between users of the Website. You understand and agree that FindMyDirectDoctor is an interactive computer service as those terms are defined under Section 230 of the Communications Decency Act and that FindMyDirectDoctor cannot be held liable for any commercial or personal torts in its role as a publisher of information provided by third parties. Though FindMyDirectDoctor may edit, remove, or control the content submitted to and displayed through the Website by third parties, it will not be held liable for that content. The Website may contain links to third-party websites. The inclusion of such links does not imply approval or endorsement of the linked site by FindMyDirectDoctor.
The user understands and agrees that FindMyDirectDoctor has the sole discretion to post a review or user submission. If the user submission violates an entity or person's rights protected under libel and defamation laws, FindMyDirectDoctor reserves the right to investigate and act as it sees most proper, including but not limited to removal of the user submission.
6. Advertising Doctors.
FindMyDirectDoctor does not take payments from users in connection with the Telehealth Services; those payments are processed by the Healthcare Provider as described in Section 8. With respect to general use of the Website, FindMyDirectDoctor shall not take payments from users, regardless of whether they have created a User Account. Nothing in this Agreement shall be construed as a payment transaction between FindMyDirectDoctor and the user.
FindMyDirectDoctor may have contractual relationships with the doctors listed on the Website, including, but not limited to, for advertising placement ("Paid Doctor Advertisements"). If money was exchanged between a doctor listed on the Website and FindMyDirectDoctor for the placement of an advertised location on the Website, the doctor affiliated with such advertised space will be clearly labeled as an advertisement.
7. Advertising Doctors Terms.
FindMyDirectDoctor offers optional subscription services for doctors ("Paid Advertising Service"). By selecting a Paid Advertising Service you agree to pay FindMyDirectDoctor the subscription or usage fees (the "Subscription Fees") indicated for that Paid Advertising Service. You further agree to provide FindMyDirectDoctor with a valid payment method, which FindMyDirectDoctor will store and from which FindMyDirectDoctor will automatically charge Subscription Fees as they become due. Subscription Fees will be charged on the day your Paid Advertising Service goes into effect and will cover the use of that service for the period indicated. Thereafter, you agree that monthly payments will continue to be charged to your payment method on a recurring basis until you cancel your Paid Advertising Service. The amount of the monthly recurring charge will be the then-current Subscription Fee applicable to the Paid Advertising Service you selected. You acknowledge that the amount of the recurring charge may increase if the applicable Subscription Fee increases. FindMyDirectDoctor will collect and remit sales tax where required by state laws, based on the Paid Advertising Services and your primary office location.
Paid Advertising Services must be cancelled prior to the applicable renewal date in order to avoid billing of the next month's Subscription Fee. All cancellations or reductions of advertising services must be received in writing by email at [email protected] or by U.S. mail at 3225 McLeod Dr, Suite 100, Las Vegas, NV 89121. If cancellation or reduction is sent via U.S. mail, it shall be sent at least ten (10) days prior to the new renewal date for the cancellation to take effect. Subscription Fees for Paid Advertising Services are not prorated or refundable. In no event will a cancellation or reduction in service relieve you of your obligation to pay the Subscription Fees that are due for the period prior to the effective date of cancellation or reduction in service.
If your payment method fails or your account is past due, FindMyDirectDoctor reserves the right to either suspend or terminate your Paid Advertising Services. Any such suspension or termination will result in the cancellation of any promotional programs applicable to your Paid Advertising Services. You agree to submit any disputes regarding any charge to your account in writing to FindMyDirectDoctor within sixty (60) days of such charge, otherwise such dispute will be waived and such charge will be final and not subject to challenge.
Paid Advertising Service may include the publication of advertising or website content you provide to us. You retain all rights in, and are solely responsible for, the content posted on FindMyDirectDoctor or websites supported by FindMyDirectDoctor. You give FindMyDirectDoctor, our affiliates, providers of third-party services, and subcontractors a non-exclusive, fully-paid, perpetual, royalty-free, transferable, revocable, worldwide license to use, modify, publicly perform, publicly display, reproduce, and distribute the content you provide, in whole or in part, in providing the Paid Advertising Service.
If you are a Paid Advertising Service customer, a patient-lead purchaser, or any other commercial user of FindMyDirectDoctor's services (including lead purchase services made available at doctors.findmydirectdoctor.com), you agree to hold confidential the terms of all FindMyDirectDoctor pricing, patient-lead data, and other proprietary or commercial information that FindMyDirectDoctor provides to you, and you will not disclose such information to any third party except (a) as required by court order or other lawful process, or (b) as required by applicable law (including tax laws and regulations). This confidentiality obligation does not extend to information that becomes generally available to the public through no improper action or inaction of FindMyDirectDoctor or its affiliates, agents, consultants, or employees. You also agree not to use patient-lead data provided through FindMyDirectDoctor for any purpose other than the commercial relationship for which the data was provided, and not to resell, redistribute, or transfer patient-lead data to any third party. If you receive patient information through FindMyDirectDoctor's services, you are solely responsible for your own compliance with the Health Insurance Portability and Accountability Act (HIPAA), state privacy laws, and other applicable laws governing your handling of such information, and FindMyDirectDoctor is not responsible for your downstream use, storage, or disclosure of such information.
8. Telehealth Services.
The Website is intended to facilitate the following services (the "Telehealth Services"): (a) connecting users to telehealth consultations with licensed healthcare professionals; (b) administrative support for scheduling, billing, and member services; (c) coordination of prescription fulfillment with affiliated pharmacies; and (d) technology support enabling communication and treatment through the Website.
Telehealth Services are provided by OpenLoop Healthcare Partners, PC (principal offices at 317 6th Avenue, Des Moines, IA 50309) and its affiliated professional corporations (collectively, the "Healthcare Provider"). All medical providers delivering Telehealth Services are independent professionals contracted or employed with the Healthcare Provider and are solely responsible for the medical services provided to you. All medical advice, diagnoses, prescriptions, and treatment decisions are made by the Healthcare Provider's licensed clinicians in their independent professional medical judgment.
FindMyDirectDoctor does not provide Telehealth Services and is not licensed to practice medicine. FDD does not control or interfere with the provision of Telehealth Services by the Healthcare Provider. FDD is not responsible for Telehealth Services, including any personal injury, death, or property damage arising from your use of any Telehealth Services. FDD is not acting as a pharmacy and does not control or interfere with pharmacy services.
You must be at least eighteen (18) years of age to use the Telehealth Services. Certain Telehealth Services have higher eligibility requirements, including a minimum age of twenty-five (25) for services involving controlled substances such as scheduled testosterone replacement therapy. Controlled substance prescribing through the Telehealth Services is performed by the Healthcare Provider's DEA-registered clinicians in accordance with applicable federal and state controlled substance laws, including the Ryan Haight Online Pharmacy Consumer Protection Act of 2008 (21 U.S.C. § 829(e)) and current DEA telemedicine guidance. Availability of controlled-substance treatments is limited to specific states based on the Healthcare Provider's clinician licensure and DEA registration footprint and may change at any time. Clinical eligibility for controlled substance treatment, including any required in-person evaluation, laboratory work, or follow-up cadence, is determined by the Healthcare Provider during clinical intake.
The Telehealth Services are not for medical emergencies. If you are experiencing a medical emergency, dial 911 or your local emergency number.
By using the Telehealth Services, you consent to FindMyDirectDoctor's delivery of your information to the Healthcare Provider, to pharmacies that have entered into a service agreement with the Healthcare Provider for the dispensing of prescriptions to its patients ("Dispensing Pharmacies"), to other pharmacies you may elect to use for prescription fulfillment ("Unaffiliated Pharmacies"), and to laboratories and other diagnostic testing companies, in connection with prescription fulfillment, diagnostic testing, and related services. The Healthcare Provider will collect informed consent for telehealth treatment during clinical intake.
If a clinician prescribes medication, that medication is dispensed by a pharmacy engaged by the Healthcare Provider, which may include compounding pharmacies. Compounded medications are not approved by the U.S. Food and Drug Administration ("FDA") or evaluated by the FDA for safety, effectiveness, or quality. See Section 21 for additional disclosures regarding compounded medications, and Section 22 for information about the Healthcare Provider's current pharmacy partners.
Payment for Telehealth Services is processed by the Healthcare Provider through its own merchant account and payment processor. FindMyDirectDoctor does not hold patient funds, does not process card payments, and does not store card data. FindMyDirectDoctor's role with respect to Telehealth payments is limited to routing the user to the Healthcare Provider's checkout flow and receiving non-card payment metadata such as transaction confirmations and tokenized identifiers used for account-administration purposes. FindMyDirectDoctor does not share in fees charged for clinical services rendered by the Healthcare Provider, does not receive remuneration for the referral of patients, and is not compensated based on individual prescribing decisions or treatment outcomes. Any commercial relationship between FindMyDirectDoctor and the Healthcare Provider is governed by a separate written agreement and is structured at fair market value, in compliance with applicable federal and state anti-fee-splitting and anti-kickback requirements. You may cancel your Telehealth Subscription at any time through your member portal. Refund and cancellation terms are disclosed at checkout and in the member portal. Recurring billing occurs on an approximately 28-day cycle. Healthcare Provider patient support, including billing questions, refund requests, and cancellations, is available through your member portal.
Protected Health Information ("PHI"), as defined under the Health Insurance Portability and Accountability Act of 1996, as amended ("HIPAA"), generated through your use of the Telehealth Services is handled by FindMyDirectDoctor as a Business Associate of the Healthcare Provider, which is the Covered Entity, under a Business Associate Agreement entered into pursuant to 45 CFR § 164.504(e). HIPAA rights (including access, amendment, and accounting of disclosures) are exercised through the Healthcare Provider as the Covered Entity. See the Privacy Notice for details, including how to contact the Healthcare Provider for HIPAA matters.
9. Services and Availability.
While FindMyDirectDoctor strives to provide regular access to its services and Website, it is possible high volume or specific services may be unavailable at the time of your order. If this is the case, FindMyDirectDoctor will contact you in a reasonable time frame to advise you of the issue. You understand and agree that the availability of a service displayed through the Website does not guarantee that the service will be available at a certain date or time.
FindMyDirectDoctor offers information to users about doctors, doctors' offices, or related health and wellness industry entities. This information is obtained through various mechanisms intended to gather information concerning the doctors and their services and compile it in a single area easily viewable by the user. FindMyDirectDoctor gives no guarantee or warranty that the Website's information is accurate, up-to-date, or should be relied upon by the user. This information, and any articles or stories posted on the Website, is for educational purposes only, and gives no medical advice, endorsement, treatment, or any other form of medically related services that requires a license. The Website is provided on an "as is" basis and without warranty of any kind, whether implied or explicit, and you understand and agree that no user has any claim for breach of this Agreement in the event that the user obtains false, improper, or misleading information about any relevant medical professional.
10. User Accounts.
FindMyDirectDoctor may provide you with the ability to create a user account, either through FindMyDirectDoctor itself or through a supported third-party vendor whom FindMyDirectDoctor utilizes, which may provide you with the ability to view special areas and services through the Website (hereinafter "User Account"). Your User Account is protected by a username and password. You recognize that you are solely responsible for maintaining the security and confidentiality of your username and password and that you are responsible for any unauthorized access to your User Account. In the event your User Account is accessed without your authorization, you agree to notify FindMyDirectDoctor immediately. FindMyDirectDoctor reserves the right to restrict access to, suspend, disable, or delete your User Account at any time, in its sole discretion, and without prior warning.
A User Account may be created by providing information to FindMyDirectDoctor when you sign up for services, or when you voluntarily create an account utilizing one of the third-party services that FindMyDirectDoctor uses. User Accounts created on third-party services are governed exclusively by those third-party services' terms of use agreement and privacy policies. FindMyDirectDoctor only has control over, and this Agreement only governs, the User Account created by and governed by FindMyDirectDoctor. You acknowledge and agree that you control access to your User Account. Your User Account may only be used by you or by third parties with your express written consent. FindMyDirectDoctor will not be held responsible or liable for any unauthorized access to your User Account, and you are under a continuing duty to promptly provide FindMyDirectDoctor with notice of any unauthorized or unusual access to your User Account. You are advised to keep the username and password associated with your User Account secure and secret. By creating a User Account and providing your personal information to FindMyDirectDoctor, you acknowledge and agree that FindMyDirectDoctor may use your personal information to contact you.
FindMyDirectDoctor reserves the right to suspend or terminate your User Account at any time and in its sole and absolute discretion, including, but not limited to, for a violation of any term or condition of this Agreement.
11. User-Generated Content.
FindMyDirectDoctor may provide you with the ability to upload, contribute, or transmit user-generated content to or through the Website through your User Account, including, but not limited to, listings text, photographs, images, videos, URLs, and other files (collectively "User-Generated Content"). You warrant that your User-Generated Content will not (i) violate any law, statute, regulation, or ordinance, whether local, state, provincial, national, or international, (ii) violate any term or condition of this Agreement, or (iii) violate the rights of third parties, including intellectual property rights and any other personal or proprietary rights. By submitting User-Generated Content to the Website, you grant FindMyDirectDoctor a non-exclusive, irrevocable, royalty-free, worldwide, and perpetual license to use your User-Generated Content for the customary and intended purposes of the Website. The customary and intended purposes of the Website may include, but are not limited to, displaying the Website's content to you or to third parties, providing the Website's services to you or to third parties, and archiving or making backup copies of the Website. By submitting User-Generated Content to the Website, you waive all moral rights or rights of publicity or privacy with respect to the User-Generated Content submitted to the Website. When posting User-Generated Content to the Website, you warrant that your User-Generated Content will be accurate, truthful, non-deceptive, and complete.
FindMyDirectDoctor assumes no responsibility, and cannot be held liable for, the conduct of any User Account that submits User-Generated Content to the Website, including, but not limited to, the accuracy, reliability, completeness, or truth of any listing. You are advised to perform your own due diligence when evaluating any listing through the Website and your use of the Website to list, purchase, or complete any transaction is at your own risk.
12. Doctor's Profiles.
Doctors, physicians, health entities, and individuals that are advertised on the Website may claim their profile. Although FindMyDirectDoctor attempts to verify the identities of every profile that is claimed, FindMyDirectDoctor is unable to guarantee that each profile properly matches the claimed entity or individual. Because of this, FindMyDirectDoctor gives no indication or representation as to the authenticity or accuracy of the information found on a doctor or entity profile, including, but not limited to, whether it was claimed by an individual we have attempted to verify.
FindMyDirectDoctor may also allow doctors or entities to be given a trust seal by FindMyDirectDoctor. These trust seals are granted only to the profiles that have the highest FDD score, at the discretion of FindMyDirectDoctor. This trust seal, along with the reviews submitted by users, are at the sole discretion of FindMyDirectDoctor.
13. Payments and Fees - General Terms.
This Section 13 sets out general terms that apply to all payments and fees you make through the Website. Specific terms for the Telehealth Services are in Sections 8 and 23, and specific terms for Paid Advertising Services for doctors are in Section 7.
All amounts are quoted and payable in United States Dollars. You agree to pay all applicable taxes or other governmental charges imposed in connection with your use of the Website or your purchases through it. FindMyDirectDoctor is not responsible for foreign transaction fees, currency conversion fees, or other fees charged to you by your financial institution.
If you initiate a chargeback or payment reversal with your bank or card issuer for a charge processed by the Healthcare Provider in connection with the Telehealth Services, you authorize FindMyDirectDoctor and the Healthcare Provider to respond to that chargeback with documentation of your account, your subscription, and any services rendered. Disputes about Telehealth Services charges should first be raised through the Healthcare Provider's patient support, as described in Section 8.
If you initiate a chargeback for a charge processed directly by FindMyDirectDoctor (such as a Paid Advertising Service fee under Section 7), you authorize FindMyDirectDoctor to respond to that chargeback with documentation of your account and services rendered. You agree to pay reasonable costs associated with the chargeback if it is found to be without merit.
If you fail to pay any amount due to FindMyDirectDoctor (such as a Paid Advertising Service fee), FindMyDirectDoctor may suspend or terminate your User Account in accordance with Sections 10 and 15. You agree to pay all reasonable costs of collection, including attorneys' fees, incurred by FindMyDirectDoctor in collecting any past-due amount under this Agreement. Disputes about the amount or validity of any payment are governed by Section 20, subject to the sixty (60) day notice requirement in Section 7 for Paid Advertising Service charges.
14. Third Party Links.
You acknowledge and agree that the Website may contain links to third party websites or content that FindMyDirectDoctor does not own or control. You are advised to review the terms and conditions of any third-party websites or content linked to through the Website, and you agree that FindMyDirectDoctor will not be responsible for websites not under the ownership or control of FindMyDirectDoctor.
15. Term and Termination.
The term of this Agreement will begin upon your first accessing of the Website and will continue until the earlier of the following: (i) FindMyDirectDoctor terminates your access to the Website; (ii) you cease using the Website and terminate your User Account; or (iii) you notify FindMyDirectDoctor in writing that you wish to terminate your contractual relationship with FindMyDirectDoctor, so long as such termination does not breach any other term of this Agreement. FindMyDirectDoctor reserves the right to terminate the Website or your access to the Website in its sole and absolute discretion and without prior notice.
Upon termination of your User Account, FindMyDirectDoctor will retain or delete your information as described in the Privacy Notice and, with respect to PHI, in accordance with the Healthcare Provider's record-retention requirements under applicable medical-records and HIPAA rules. State-law privacy deletion requests are handled in accordance with the Privacy Notice.
16. Trademarks.
You acknowledge and agree that any and all trademarks, trade names, design marks, or logos displayed on the Website by FindMyDirectDoctor, including but not limited to FindMyDirectDoctor, are common law or registered trademarks owned by or licensed to FindMyDirectDoctor. You are expressly prohibited from using the trademarks of FindMyDirectDoctor to cause confusion in, to cause mistake in, or to deceive consumers, or from falsely designating the origin of, the source of, or the sponsorship of your goods or services. You are further prohibited from using the trademarks of FindMyDirectDoctor in domain names, in keyword advertisements, to trigger keyword advertisements, or in meta tags. All other trademarks, trade names, design marks, or logos are the property of their respective owners.
17. ADA Accessibility Policy.

19. Indemnification.
You agree to defend, indemnify, and hold harmless FindMyDirectDoctor and its officers, directors, employees, affiliates, licensors, and suppliers, from and against any and all third-party claims, demands, liabilities, costs, or expenses, including reasonable attorneys' fees, arising out of or related to: (i) any breach by you of this Agreement; (ii) your use of the Website or its content or features in an unauthorized manner; (iii) your violation of the rights of a third party, including intellectual property rights or other personal or proprietary rights; (iv) your violation of any applicable law, statute, ordinance, or regulation; (v) any false, incomplete, or misleading medical or health-related information you provide to the Healthcare Provider during intake or clinical care routed through the Services; and (vi) your misuse of any medication, including compounded medication, dispensed pursuant to a Healthcare Provider prescription. FindMyDirectDoctor reserves the right to control its defense, including its choice of counsel and whether to litigate or settle a claim subject to indemnification.
In the event that you have a dispute with one or more other users of the Website (including a dispute between you and a doctor, advertiser, or other user), you release FindMyDirectDoctor and its officers, directors, employees, agents, affiliates, and successors from claims, demands, and damages of every kind or nature, known or unknown, suspected or unsuspected, disclosed or undisclosed, arising out of or in any way related to such disputes and the Website. If you are a California resident, you waive California Civil Code Section 1542, which provides: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party." If you are not a California resident, you waive any rights under any statute or common-law principle similar to Section 1542 that governs your rights in the jurisdiction of your residence.
For the avoidance of doubt, this release runs only to FindMyDirectDoctor and does not release the Healthcare Provider, any Dispensing Pharmacy, any laboratory, or any other third party from any claim you may have against them, including any claim arising out of the provision of clinical care or prescription fulfillment. Nothing in this Section 19 limits the carve-out in Section 18 preserving your rights directly against the Healthcare Provider.
20. Resolution of Disputes and Governing Law.
Before initiating arbitration, you must first send to [email protected] a written Notice of Dispute that describes the nature and basis of the claim, identifies the parties, and states the specific relief sought. FindMyDirectDoctor will attempt in good faith to resolve the dispute informally within thirty (30) days of receiving the Notice. If the dispute is not resolved within that period, either party may proceed to arbitration in accordance with the paragraphs below.
YOU AND FINDMYDIRECTDOCTOR AGREE THAT ARBITRATION WILL BE THE EXCLUSIVE FORUM AND REMEDY AT LAW FOR ANY DISPUTES ARISING OUT OF OR IN RELATION TO THIS AGREEMENT OR CONCERNING THE VALIDITY, INTERPRETATION, BREACH, VIOLATION, OR TERMINATION OF THIS AGREEMENT, EXCEPT AS PROVIDED BELOW.
Disputes arising out of or relating to the Telehealth Services or the Healthcare Provider's clinical care, including claims regarding prescriptions, compounded medications, telehealth visits, Protected Health Information, payments, refunds, and FindMyDirectDoctor's role as a HIPAA business associate (collectively, "Telehealth Disputes"), are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Telehealth Disputes will be resolved by binding individual arbitration administered by JAMS in accordance with its rules and procedures in effect at the time of arbitration, with the arbitration to take place in Wilmington, Delaware.
All other disputes (collectively, "Non-Telehealth Disputes") are governed by the laws of the State of Kansas, without regard to its conflict-of-laws principles. Non-Telehealth Disputes will be resolved by binding individual arbitration administered by JAMS in accordance with its rules and procedures in effect at the time of arbitration, with the arbitration to take place in Overland Park, Kansas.
The Federal Arbitration Act, 9 U.S.C. § 1 et seq., governs the interpretation and enforcement of this Section 20.
YOU AGREE THAT ANY AND ALL DISPUTES BETWEEN YOU AND FINDMYDIRECTDOCTOR WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION, AND YOU WAIVE YOUR RIGHT TO BRING OR RESOLVE ANY DISPUTE AS, OR PARTICIPATE IN, A CLASS, CONSOLIDATED, REPRESENTATIVE, COLLECTIVE, OR PRIVATE ATTORNEY GENERAL ACTION OR ARBITRATION.
If twenty-five (25) or more similar arbitration demands are filed against FindMyDirectDoctor by the same or coordinated counsel within a sixty (60) day period (a "Mass Filing"), all such demands will be batched into sequential groups of twenty-five (25) and resolved one group at a time. The applicable statute of limitations is tolled for demands not yet selected for batching. Both parties agree that this batching mechanism is essential to the orderly administration of arbitration and that arbitration administration cannot reasonably accommodate simultaneous mass arbitration. If a court of competent jurisdiction holds this batching provision unenforceable as to a particular dispute or claim, that claim shall proceed in court, but the remainder of this Section 20 will continue in full force as to all other claims.
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND FINDMYDIRECTDOCTOR EACH WAIVE THE RIGHT TO A TRIAL BY JURY IN ANY ACTION ARISING OUT OF OR RELATING TO THIS AGREEMENT.
You may opt out of this Section 20 by sending written notice to [email protected] within thirty (30) days of first accepting these Terms or creating your account, whichever is later. Opting out does not affect any other provision of this Agreement.
Notwithstanding the foregoing, either party retains the right to file any claim that is not a class action and which is properly within the limited jurisdiction of a small claims court within small claims court.
EXCEPT WHERE APPLICABLE LAW PROHIBITS THE SHORTENING OF A STATUTORY LIMITATIONS PERIOD, BOTH PARTIES UNDERSTAND AND AGREE THAT ALL DISPUTES ARISING OUT OF OR IN RELATION TO THIS AGREEMENT MUST BE BROUGHT WITHIN ONE (1) YEAR OF THE DATE ON WHICH THE DISPUTE AROSE. THE PARTIES EXPLICITLY WAIVE ANY AND ALL STATUTE OF LIMITATIONS OR TIME BARS TO THE EXTENT PERMITTED BY APPLICABLE LAW.
If any portion of this Section 20 is found unenforceable, that portion will be severed and the remainder will continue in full force. This Section 20 survives termination of this Agreement.
21. Compounded Medication Disclosures.
Telehealth Services provided by the Healthcare Provider may include the prescription and dispensing of compounded medications, including compounded forms of glucagon-like peptide-1 (GLP-1) receptor agonists such as semaglutide and tirzepatide, and other compounded therapies. Compounded medications are prepared by state-licensed 503A compounding pharmacies engaged by the Healthcare Provider.
Compounded medications are not approved by the FDA and have not been evaluated by the FDA for safety, effectiveness, or quality. The compounding facilities engaged by the Healthcare Provider are regulated under federal and state law, but the FDA does not review individual compounded products before they are dispensed.
Compounded GLP-1 medications (including compounded semaglutide and compounded tirzepatide) are NOT generic versions of Ozempic, Wegovy, Rybelsus, Mounjaro, or Zepbound, which are FDA-approved brand-name medications manufactured by Novo Nordisk or Eli Lilly. Compounded medications are distinct preparations. The FDA has issued public alerts regarding non-active salt forms of semaglutide (such as semaglutide sodium and semaglutide acetate); the Healthcare Provider's compounding pharmacies use the active base form only. The availability of compounded GLP-1 medications is conditional on FDA drug-shortage status under Section 503A(b) of the Federal Food, Drug, and Cosmetic Act; when a branded GLP-1 medication is removed from FDA's shortage list, the Healthcare Provider's compounding partners may no longer be permitted to prepare that compounded formulation, and the Healthcare Provider may discontinue that medication option without notice. No specific weight loss or other clinical outcome is guaranteed, and individual results vary.
In addition, the bioavailability, clinical efficacy, and pharmacokinetic profile of compounded oral GLP-1 preparations - including compounded oral semaglutide, compounded oral tirzepatide, and sublingual troches - have not been established by adequate and well-controlled clinical studies. The FDA-approved oral semaglutide product (Rybelsus) achieves systemic absorption through a proprietary absorption-enhancer formulation that is not used in compounded preparations. Clinical outcomes from compounded oral GLP-1 preparations may differ materially from outcomes reported for FDA-approved injectable or oral GLP-1 products, and individual results vary.
The Healthcare Provider's partner compounding pharmacies are required to source their active pharmaceutical ingredients ("APIs") from FDA-registered manufacturers, and each API must be accompanied by a valid Certificate of Analysis verifying its quality and compliance with applicable regulatory standards. The APIs used in all GLP-1 compounds dispensed under the Telehealth Services are pharmaceutical grade, not research grade, and are prepared from the active base form of the molecule rather than salt forms. While compounded medications are not evaluated or approved by the FDA for safety, efficacy, or quality, each partner compounding pharmacy is required to conduct routine third-party quality testing for potency, sterility, quality, and contamination in accordance with state pharmacy law and United States Pharmacopeia (USP) standards. The Healthcare Provider conducts onboarding and ongoing review of each partner pharmacy's state and regulatory licensure, accreditation, patient safety practices, API procurement, manufacturing, storage, and tracking processes.
The decision to prescribe a compounded medication is made by a Healthcare Provider clinician in the clinician's independent professional medical judgment, based on a telehealth consultation and your medical history. Not all patients will qualify for compounded medications, and the clinician may determine that a different course of treatment is appropriate.
The availability of any specific compounded medication may change at any time without notice, including in response to changes in FDA shortage status, regulatory action, or supply-chain conditions. If a particular compounded medication becomes unavailable, the Healthcare Provider may offer an alternative if medically appropriate, but no specific medication is guaranteed.
You should discuss with your clinician the benefits and risks of compounded medications, including possible side effects, before beginning treatment.
22. Pharmacy Partners.
Prescription medications dispensed pursuant to a Healthcare Provider clinician's prescription are fulfilled by the Dispensing Pharmacies (as defined in Section 8). The Healthcare Provider partners exclusively with state-licensed 503A compounding pharmacies. The specific Dispensing Pharmacy that fulfills a given prescription is determined by a combination of patient state of residence and medication availability.
The Healthcare Provider's current Dispensing Pharmacies are:

The Healthcare Provider may add or remove Dispensing Pharmacies at any time without notice based on supply, clinical, regulatory, or operational considerations. FindMyDirectDoctor does not dispense, ship, or deliver medication and is not a pharmacy. Additional information about pharmacy practices, compounding standards, side effects, and reporting safety concerns is available on the FindMyDirectDoctor Medications Safety Information page, and shipping and delivery terms are described in the FindMyDirectDoctor Shipping and Delivery Policy.
23. Subscription and Auto-Renewal Terms.
The Telehealth Services are offered on a subscription basis. By enrolling in a subscription, you authorize the Healthcare Provider, as the merchant of record, to charge your payment method on a recurring basis for the subscription you selected at the time of enrollment.
Recurring charges occur on an approximately 28-day cycle, beginning on the date you first enroll. The amount of each recurring charge, the renewal frequency, and any applicable taxes or fees are disclosed to you at checkout before you complete enrollment.
Your subscription will automatically renew at the end of each billing cycle unless you cancel before the next renewal date. You may cancel your subscription at any time through your member portal or by contacting the Healthcare Provider's patient support. Cancellation takes effect at the end of the current billing cycle, except as otherwise provided in your subscription terms or disclosed at checkout.
Cancellation and refund mechanics, including the requirement to submit cancellation requests at least 72 hours prior to your billing date and the limited circumstances in which a refund may be issued (medical disqualification, and damaged or incorrect medication), are set forth in the FindMyDirectDoctor Refund and Cancellation Policy and disclosed to you at checkout and in the member portal.
The Healthcare Provider may change subscription pricing, billing cycle length, or other terms from time to time. You will be notified of any material changes in advance, as required by applicable law, and any changes will take effect at the start of a subsequent billing cycle. Continued use of the Telehealth Services after the effective date of a change constitutes your acceptance of the change.
These auto-renewal terms are governed by the Federal Trade Commission's Negative Option Rule (16 C.F.R. Part 425) and applicable state automatic-renewal laws, including those of California, New York, Illinois, and Vermont. Additional disclosures specific to your state of residence will be provided at checkout where required by law.
24. Florida Weight-Loss Consumer Bill of Rights.
The following statutory disclosures are provided in accordance with Florida Statutes section 501.0575. The Telehealth Services may include, where clinically appropriate, the prescription of medications and the offering of a weight-loss program by the Healthcare Provider. FindMyDirectDoctor itself is not a weight-loss provider, dietitian, or nutritionist; clinical care, weight-loss treatment decisions, and the program prescribed to you are the responsibility of the Healthcare Provider, as defined in Section 8, in the exercise of its independent professional medical judgment.
WEIGHT-LOSS CONSUMER BILL OF RIGHTS (FLA. STAT. § 501.0575)

(D) QUALIFICATIONS OF THIS PROVIDER ARE AVAILABLE UPON REQUEST.

  1. 1.ASK QUESTIONS ABOUT THE POTENTIAL HEALTH RISKS OF THIS PROGRAM AND ITS NUTRITIONAL CONTENT, PSYCHOLOGICAL SUPPORT, AND EDUCATIONAL COMPONENTS.
  2. 2.RECEIVE AN ITEMIZED STATEMENT OF THE ACTUAL OR ESTIMATED PRICE OF THE WEIGHT-LOSS PROGRAM, INCLUDING EXTRA PRODUCTS, SERVICES, SUPPLEMENTS, EXAMINATIONS, AND LABORATORY TESTS.
  3. 3.KNOW THE ACTUAL OR ESTIMATED DURATION OF THE PROGRAM.
  4. 4.KNOW THE NAME, ADDRESS, AND QUALIFICATIONS OF THE DIETITIAN OR NUTRITIONIST WHO HAS REVIEWED AND APPROVED THE WEIGHT-LOSS PROGRAM ACCORDING TO s. 468.505(1)(j), FLORIDA STATUTES.
The weight-loss program offered by the Healthcare Provider through the Telehealth Services has been reviewed and approved consistent with Florida Statutes section 468.505(1)(j). The name, address, and qualifications of the dietitian or nutritionist who has reviewed and approved the weight-loss program, and the qualifications of the program's clinical providers, are maintained by the Healthcare Provider and are available upon request by contacting the Healthcare Provider's patient support at [email protected], (855) 597-1248, or through your member portal. FindMyDirectDoctor is not a weight-loss provider, dietitian, or nutritionist; the nutritional content, clinical protocols, and qualification credentials of the weight-loss program are the responsibility of the Healthcare Provider, which determines all clinical eligibility and treatment decisions in its independent professional medical judgment.
This Section 24 is intended to satisfy the disclosure requirements of Florida Statutes section 501.0575 for users physically located in the State of Florida who enroll in or consider enrolling in a weight-loss program through the Telehealth Services. The statutory text in items (A) through (E) above is reproduced verbatim from Florida Statutes section 501.0575(1) and is displayed in conspicuous boldface formatting consistent with the legibility intent of Florida Statutes section 501.0573. 25. Geographic Restrictions.
Currently offering services in all 50 states plus Washington D.C. Some services may not be available in all 50 states or Washington D.C. Subject to change.
FindMyDirectDoctor is based in the United States. Within the geographic footprint described above, the Telehealth Services are available to users physically located in U.S. states and territories where the Healthcare Provider holds active medical licensure and where the clinician treating you is licensed. The Healthcare Provider determines and confirms state eligibility during clinical intake. If you attempt to access Telehealth Services from a state in which the Healthcare Provider is not licensed, your request will be declined and no clinical relationship will be formed. FindMyDirectDoctor makes no representation that any particular Telehealth Service is available in any particular state, and the list of states and services available may change at any time. The Telehealth Services and Paid Advertising Services are intended for use only by persons located in the United States. FindMyDirectDoctor makes no representation that the Website, the Telehealth Services, or any content is accessible or appropriate for use outside the United States. If you access the Website from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.
26. Testimonials.
You agree that FindMyDirectDoctor may contact you to obtain your consent to use a testimonial regarding your experience with the Website, the Telehealth Services, or the Healthcare Provider. If you choose to provide a testimonial, you consent to FindMyDirectDoctor's use of your testimonial, photograph, first name, last initial, and similar information in marketing materials, on the Website, and in other communications, in accordance with the FindMyDirectDoctor Privacy Notice. When testimonials regarding weight loss or other health outcomes are displayed, FindMyDirectDoctor will include the disclosure that results are not typical and that individual outcomes vary, as required by the FTC Endorsement Guides (16 C.F.R. Part 255). If you receive any form of compensation, discount, free product, or other consideration in connection with a testimonial, that material connection will also be disclosed.
27. Force Majeure.
FindMyDirectDoctor will not be responsible for any delay or failure in performance of the Website or its associated products arising out of any cause beyond FindMyDirectDoctor's control, such as acts of God, war, riots, fire, terrorist attacks, pandemics, power outages, computer or technology outages or failures, severe weather, or other accidents.
28. Survivability.
The representations, warranties, duties, and covenants made by you under this Agreement, and all provisions that by their nature should survive termination - including without limitation Sections 18 (Disclaimer of Warranties and Limitation of Liability), 19 (Indemnification), and 20 (Resolution of Disputes and Governing Law) - will survive the termination of this Agreement, your User Account, or the Website.
29. Severability.
In the event any term or condition of this Agreement is deemed invalid or unenforceable, the remaining terms and conditions of this Agreement will remain in full force and effect.
30. Interpretation.
This Agreement will be deemed to have been drafted by both parties, and the terms and conditions of this Agreement will not be interpreted against its drafter.
31. Assignment.
You are expressly prohibited from assigning your rights and duties under this Agreement. FindMyDirectDoctor reserves the right to assign its rights and duties under this Agreement, including in a sale of FindMyDirectDoctor or its Website.
32. Waiver, Privacy Notice, and Integration.
No term or condition of this Agreement or breach of this Agreement will be deemed to have been waived or consented to unless said waiver is in writing and signed by the party to be charged. This Agreement is the entire agreement between the parties and supersedes all previous agreements or representations between the parties. FindMyDirectDoctor incorporates by reference its Privacy Notice and its Do Not Sell or Share My Personal Data page as if fully stated herein.
33. Contact Form Submissions.
When you submit a general inquiry through a contact form on the Website, do not include protected health information or other sensitive personal information. For questions about your medical care, prescriptions, or treatment, use the member portal or contact the Healthcare Provider's patient support, as described in Section 8.
